Terms of Service

These Terms govern access to and use of the CounselPort platform at counselport.com. By using the platform, you agree to these Terms. If you do not agree, discontinue use.

011. Service Description

CounselPort provides cross-border legal service discovery, Counsel Panel, Senior Referral Route, verification support, conflict-check support, and structured introduction workflows. CounselPort is not a law firm, does not provide legal advice, does not represent users, and is not a party to any legal engagement formed between users and professionals, firms, or institutions introduced through the platform.

022. Account Registration and Obligations

Users must provide true, accurate, and complete account, identity, professional, and organizational information. Users are responsible for maintaining account security and for activity under their accounts. Each account should be used only by the registered user or authorized organization representative.

033. Eligibility

The platform is intended for clients, companies, legal departments, law firms, teams, professionals, and individuals with legitimate cross-border legal service needs, subject to identity verification and applicable law. We may suspend or decline access if verification fails or if use appears inconsistent with the platform purpose.

044. Acceptable Use

Users must not: (1) Use the platform for unlawful, misleading, abusive, or unauthorized purposes; (2) Submit false identity, professional, organizational, client, or matter information; (3) Scrape, crawl, or bulk export platform data without authorization; (4) Disclose confidential matter information outside controlled workflows; (5) Interfere with platform security, operations, or other users; (6) Treat platform information as legal advice or as a guarantee of outcome.

055. Intellectual Property

Platform content, software, design, marks, and materials are owned by CounselPort or its licensors and are protected by applicable intellectual property laws. Users retain ownership of content they submit, while granting CounselPort a limited license to use that content to provide, operate, secure, and improve the requested services.

066. Disclaimer and Limitation of Liability

CounselPort provides platform and service workflow support on an as-is and as-available basis. We do not guarantee professional quality, availability, suitability, legal outcomes, or the conduct of any third party. To the maximum extent permitted by law, CounselPort is not liable for indirect, incidental, special, consequential, or punitive damages, or for disputes arising from engagements between users and third-party professionals, firms, or institutions. Any liability is limited to the fees paid to CounselPort for the relevant service during the 12 months preceding the event giving rise to the claim, unless applicable law requires otherwise.

077. Termination

We may suspend or terminate access if a user violates these Terms, fails verification, creates legal or security risk, or uses the platform outside its intended purpose. Users may request account closure by contacting us. Provisions concerning confidentiality, intellectual property, disclaimers, liability limits, governing law, and dispute resolution survive termination.

088. Governing Law

These Terms are governed by the laws of the People's Republic of China, unless mandatory applicable law provides otherwise. If any provision is found invalid or unenforceable, the remaining provisions remain effective.

099. Dispute Resolution

Disputes arising from these Terms or platform use should first be addressed through good-faith negotiation. If unresolved, either party may submit the dispute to a court with competent jurisdiction.

1010. Modifications to Terms

We may update these Terms from time to time. Updated Terms will be posted on the platform with a revised effective date. Continued use after the effective date constitutes acceptance of the updated Terms.
